Restructuring

• Operational Restructuring - Conducted operational restructuring for a shipping and logistic company to suggest formation of branches and subsidiaries for various business verticals. We studied the working of the different divisions of the company and recommended steps to control cost and improve efficiency.
• Financial Restructuring - Assisted a new start up venture to structure share capital through a complex route of issues bonus shares, FDI and ECB from its German partner to ensure equitable sharing.

Transaction Risk Analysis

• We were engaged by a US company to evaluate tax exposure on the proposed venture with ONGC and recommend alternative business models that optimizes indirect tax exposure.
